Tax planning & advice in Sydney

The question before the return.

Compliance records what has already happened. Advice comes earlier: how a transaction should be structured, whether a position will hold up, and whether the tax outcome you expect is the one you will get.

Call 02 9267 6533

What this covers

Written advice on a specific transaction or position, with the reasoning set out
Capital gains tax planning — small business concessions, rollovers, the main residence rules
Division 7A: loans, unpaid present entitlements and the clean-up where it has drifted
Trust distributions, family trust elections and section 100A exposure
Property held in the wrong entity, and what moving it would cost
ATO reviews, audits, private rulings and voluntary disclosures
Residency questions, foreign income and inbound or outbound moves

When people come to us

You are about to do something significant and want the tax position settled first
Your accountant has told you the outcome but not shown you the reasoning
The ATO has written to you and the letter is not self-explanatory
A structure set up years ago no longer matches how the business runs
You have been told something is fine and want a second view in writing

A tax return records what has already happened. By the time it is prepared, the transaction is completed, the entity has been chosen, the loan has been drawn and the outcome is fixed. Advice is most useful earlier, while those things are still decisions.

Engagements look different every time. Sometimes it is a single written opinion on whether a position will hold. Sometimes it is sitting between you and a lawyer while a sale is negotiated. Sometimes it is a two-page letter saying that the arrangement you have been offered will not work and why. In every case we set out our reasoning as well as the conclusion, because you may need to explain it to a bank, a buyer, a co-owner or the ATO.

Many questions can be answered in the first conversation. If more work is needed, we give you a scope and a fixed fee before we start.

What the fee includes

A written opinion setting out the facts we relied on, the law, the analysis and the conclusion
The alternatives we considered and why they were not recommended
A note of what would change the answer, so you know when to come back
Follow-up correspondence with your lawyer, broker or bank at no extra charge within the scope

What it does not include

Implementation — new entities, deeds, elections and lodgements are scoped separately
Legal advice, drafting or conveyancing, which we coordinate with your solicitor
Private ruling applications, quoted per application
Valuations, which are obtained from a registered valuer

We can quote separately for anything excluded. We won’t do or bill work outside the agreed scope without your approval.

What we need from you

Sending these at the start is the best way to get the work done quickly. The checklists set them out in full.

Prior-year returns and financial statements for every entity in the group
Trust deeds and amendments, company constitutions and shareholder agreements
Loan agreements, including any Division 7A agreements already in place
The contract, heads of agreement or proposal the question relates to
Any ATO correspondence on the point

How it works

01
A conversation first
Twenty minutes on what you are trying to work out. If it is straightforward we will often answer it there.
02
A scope and a fee
If it needs real work, you get the scope and a fixed fee in writing before anything starts.
03
Advice you can act on
Written, with our reasoning set out, so you can share it with a lawyer, bank or buyer.
Fees
Scoped and quoted per engagement

We quote a fixed fee in writing before work starts. Complex structures, catch-up years and multiple entities cost more, and we’ll tell you before we begin.

Common questions

Can I get advice without moving my compliance work to you?
Yes. Some advisory clients keep their existing accountant for the annual work. We ask for read access to prior-year returns so the advice is based on the real position.
How long does written advice take?
Straightforward positions, three to five business days from receiving the documents. Structuring and transaction work with modelling, two to three weeks. If a deadline is fixed we tell you at quoting stage whether it is achievable.
What if the answer is that I cannot do what I want?
We will tell you, in writing, and explain why. It is often the most useful advice we give.

About

A Sydney practice since 1974.

Tsia Partners is a Sydney chartered accounting and tax practice working with individuals and businesses across Australia. We handle the annual compliance work and advise on the decisions around it. We have kept the practice small so a principal stays responsible for your work.

Many clients have been with us for decades, through business sales, family changes and the occasional ATO review.

Our history

The practice began in 1974 as L K Tsia Chartered Accountants, founded by Loi Kah Tsia. Tsia Partners was formed in 2019 to continue that work, led by Jia Hao Tsia.

Founder

Loi Kah Tsia

Known to clients as Tom
BComm, FCA, FCPA — Tax Agent and Registered Auditor

Tom was born in Sandakan, Sabah, in 1947. He grew up in Malaysia and came to Australia on his own to study. After qualifying as a Chartered Accountant he worked in other firms for several years, and in 1974, with the support of his wife, he opened his own practice, L K Tsia Chartered Accountants, in Sydney.

Over more than forty-five years he advised charities, unions and employer associations, manufacturers, family businesses and individuals. Many of those clients are still with the practice today.

He worked to three principles, and Tsia Partners still does:

Client first
Honesty
Responsibility

The firm is now led by Jia Hao Tsia.
