Business structuring in Sydney

Get the structure right before it costs you.

Most structures are set up once, at the beginning, for a business that no longer exists. Restructuring later is possible but rarely free. We look at what you have, what you are planning, and whether a change is worth making.

Call 02 9267 6533

What this covers

Choosing the entity — company, trust, partnership or a combination — for a new venture
Restructuring an existing group, including the rollover relief available
Buying a business: due diligence, deal structure, and what you are acquiring
Selling a business: pre-sale positioning, small business CGT concessions, earn-outs
Bringing in a partner, an investor or the next generation
Holding structures for property and investments
Winding up entities that no longer serve a purpose

When people come to us

You are buying or selling a business, or part of one
A new shareholder, partner or family member is coming in
Assets sit in an entity that made sense a decade ago
You are planning to exit in the next few years and want to be ready
Someone has proposed a structure and you want it checked before you sign

Almost every structure we review was set up correctly for a business that no longer exists. A sole trader who now employs fifteen people. A company that was never meant to own the factory it owns. A trust with a deed written in 1998 that does not contemplate the class of beneficiary the family now needs.

The work starts by mapping what exists: entities, ownership percentages, loan balances, who owns which asset and where the value has accumulated. For many groups this is the first time it has been set out on one page, and that alone often clarifies things.

Then we cost the options: the income tax, transfer duty, CGT, professional fees, disruption and risk of each. Leaving things as they are is always one of the options, and sometimes the best one. A restructure that costs $60,000 in duty to save $8,000 a year is rarely worth it.

What the fee includes

A single-page map of the existing group: entities, ownership, loans and assets
Two or three viable options, each with the tax, duty and cost consequences quantified
A written recommendation with the reasoning, suitable to give a lawyer or a bank
The implementation plan, sequenced, with the elections and deadlines identified

What it does not include

Legal drafting — deeds, constitutions and agreements come from your solicitor
Stamp duty rulings and Revenue NSW private rulings, quoted separately
Independent valuations of businesses or property
Ongoing compliance for any new entities, which moves onto a normal annual fee

We can quote separately for anything excluded. We won’t do or bill work outside the agreed scope without your approval.

What we need from you

Sending these at the start is the best way to get the work done quickly. The checklists set them out in full.

Financial statements and tax returns for every entity, last three years
Trust deeds, constitutions, shareholder and partnership agreements
Property titles, mortgage statements and any leases between related parties
Loan account balances, including unpaid present entitlements
What you are planning: the sale, the admission, the purchase, the exit and the timeframe

How it works

01
Map what exists
Entities, ownership, loans, assets and where the value sits.
02
Model the options
What each option costs in tax, duty and disruption, including leaving things as they are.
03
Implement it
Documents, elections, minutes and lodgements, coordinated with your lawyer where one is needed.
Fees
Scoped and quoted per engagement

We quote a fixed fee in writing before work starts. Complex structures, catch-up years and multiple entities cost more, and we’ll tell you before we begin.

Common questions

Is it too late to restructure?
Rarely, but it gets more expensive. The small business restructure rollover, CGT rollovers and the NSW corporate reconstruction exemption all exist. Each has conditions, and the conditions are easier to satisfy before a sale is on foot than after.
Do I need a lawyer as well?
For anything involving deeds, share transfers or property, yes. We work alongside your solicitor and will recommend one if you do not have a commercial lawyer.
How much does the structuring advice itself cost?
From $2,000. A group restructure with modelling and implementation planning costs more, and we quote it before we start.

About

A Sydney practice since 1974.

Tsia Partners is a Sydney chartered accounting and tax practice working with individuals and businesses across Australia. We handle the annual compliance work and advise on the decisions around it. We have kept the practice small so a principal stays responsible for your work.

Many clients have been with us for decades, through business sales, family changes and the occasional ATO review.

Our history

The practice began in 1974 as L K Tsia Chartered Accountants, founded by Loi Kah Tsia. Tsia Partners was formed in 2019 to continue that work, led by Jia Hao Tsia.

Loi Kah Tsia

Known to clients as Tom
BComm, FCA, FCPA — Tax Agent and Registered Auditor

Tom was born in Sandakan, Sabah, in 1947. He grew up in Malaysia and came to Australia on his own to study. After qualifying as a Chartered Accountant he worked in other firms for several years, and in 1974, with the support of his wife, he opened his own practice, L K Tsia Chartered Accountants, in Sydney.

Over more than forty-five years he advised charities, unions and employer associations, manufacturers, family businesses and individuals. Many of those clients are still with the practice today.

He worked to three principles, and Tsia Partners still does:

Client first
Honesty
Responsibility
